SOPHENTROPY TERMS OF SERVICE
Effective: March 9, 2026
1. Acceptance of Terms
By accessing or using the Sophentropy API, dashboard, or any services ("Services"), you agree to be legally bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity.
2. Parties
"Sophentropy" is a trading name of LN2 Technologies Ltd ("Company", "we", "us"), a company registered in England & Wales. Company number: 16175226. Registered address: 11 Saffrons Road, BN21 1DT.

4. Account Responsibilities
4.1 You must be 18+ or have parental consent.
4.2 You are responsible for all activity under your account and API keys.
4.3 Keep credentials secure. Notify us immediately of any breach.
4.4 We may suspend accounts for: (a) non-payment, (b) abuse, (c) security risk.
5. Payments & Billing
5.1 Fees billed monthly in advance via Stripe.
5.2 No refunds except where required by law.
5.3 Upgrades immediate, downgrades next billing cycle.
5.4 Late payments accrue 1.5% monthly interest.
5.5 All fees exclude VAT (added where applicable).
5.6 You authorise recurring billing until cancelled.
6. Acceptable Use Policy
6.1 Permitted: Fair use within quotas for legitimate business purposes.
6.2 Prohibited: (a) Illegal activities, (b) fraud, (c) malware, (d) DoS attacks, (e) reverse engineering, (f) reselling API access, (g) excessive scraping.
6.3 We enforce quotas strictly and may throttle abusers without notice.
7. Ownership & Intellectual Property
7.1 You own entropy outputs you generate.
7.2 We own the Services, API, proofs, ledger infrastructure, and all IP.
7.3 Public proofs may be cached indefinitely for verification purposes.
7.4 No implied licenses.
8. Service Levels
8.1 Free/Mini Dev: No uptime guarantee.
8.2 Pro+: 99.5% monthly uptime target. Credits for downtime exceeding SLA.
8.3 Force majeure events exclude liability.
9. Liability Limitation & Indemnity
9.1 MAXIMUM LIABILITY: Neither party's total liability will exceed the greater of $100 or amounts paid in prior 12 months.
9.2 EXCLUDED DAMAGES: No liability for indirect, incidental, special, punitive, or consequential damages (lost profits, revenue, data, goodwill), even if advised of possibility.
9.3 NO LIABILITY FOR:
- (a) Service interruptions beyond reasonable control
- (b) Data loss/corruption
- (c) Misuse of entropy outputs
- (d) Third-party claims from your use
- (e) Free tier services
9.4 INDEMNITY: You indemnify us against claims arising from your use, data, or breach of these Terms.
10. Confidentiality
Proprietary information (API keys, pricing, technical docs) remains confidential.
11. Termination
11.1 Either party may terminate with 30 days written notice.
11.2 Immediate termination for material breach without notice.
11.3 Outstanding payments due upon termination.
11.4 Sections 3, 5, 7, 9–15 survive termination.
12. Warranties & Disclaimers
Services provided "AS IS". No warranties express/implied regarding fitness, merchantability, or uninterrupted access.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising from these Terms.
14. Changes
We may modify Terms with 30 days email notice. Continued use constitutes acceptance.
15. Miscellaneous
Entire agreement. Severability. No waiver. Force majeure.
